By submitting User Content, you grant Jodi Group Affiliates LLC a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to use, reproduce, modify, publish, distribute, display, and otherwise use such User Content in connection with operating, promoting, and improving the Platforms.

You are responsible for ensuring that you have all rights necessary to submit User Content to the Platforms. You may not submit User Content that infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party. You may not submit false, fabricated, misleading, or fraudulent reviews, testimonials, or other User Content, or falsely represent that you purchased, used, or experienced a product or service.

All original content created and published by JoDi Promos, including our website design, logos, original text, deal descriptions, compilations, databases, layouts, and other original materials, is owned by Jodi Group Affiliates LLC or used under license. Third-party trademarks, product names, logos, images, product descriptions, and other materials remain the property of their respective owners and are used for informational, promotional, or affiliate purposes where permitted.

You may not scrape, crawl, copy, reproduce, republish, distribute, mirror, frame, systematically collect, or commercially exploit substantial portions of our content without our prior written permission.

JoDi Promos may operate or maintain communities and communications through third-party platforms, including WhatsApp, Telegram, social media platforms, and other services. Your use of those services is also subject to the applicable third party’s terms, privacy policies, and rules.

JoDi Promos does not control and is not responsible for the availability, security, functionality, policies, or practices of third-party platforms.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Jodi Group Affiliates LLC, its affiliates, officers, directors, employees, agents, contractors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your misuse of the Platforms, your User Content, or your violation of applicable law or the rights of any third party.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be administered by a recognized arbitration provider in accordance with its applicable rules and procedures. The arbitration shall be seated in Wyoming, unless otherwise agreed or required by applicable law. You and Jodi Group Affiliates LLC agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision.

You and Jodi Group Affiliates LLC agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor Jodi Group Affiliates LLC will seek to have any dispute heard as a class action, a representative action, a collective action, or in any proceeding in which either party acts or proposes to act in a representative capacity.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles, except to the extent otherwise required by applicable law. Any proceeding that is not subject to arbitration shall be brought in the state or federal courts located in Wyoming, to the extent permitted by applicable law.

We may suspend or terminate your access to all or part of the Platforms at any time, with or without notice, to the extent permitted by applicable law, including if we reasonably believe that you have violated these Terms, applicable law, or the rules of a third-party platform.

Provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the “Last Updated” date and, where appropriate, by providing additional notice. Your continued use of the Platforms after the effective date of revised Terms constitutes acceptance of the revised Terms.

By using the Platforms or communicating with JoDi Promos electronically, you agree that we may communicate with you electronically regarding your use of the Platforms, your account, transactions or interactions with us, and other matters where electronic communications are legally permitted.

This provision does not constitute consent to receive marketing communications where separate consent is required by applicable law. Marketing communications may be subject to additional terms, disclosures, and opt-out mechanisms described in our applicable policies.

You agree that electronic communications, agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Jodi Group Affiliates LLC concerning your use of the Platforms and supersede prior or contemporaneous agreements concerning the same subject matter.
